How to Write a Freelance Contract (What to Include)
Many freelance disputes come from the same few problems: unclear scope, late payment and disagreement about who owns the work. A written contract settles all three before they become arguments. It does not have to be long or full of legal jargon. It has to be clear.
Why you need one even for small jobs
A contract protects you from unpaid extra work and late payment, and it protects the client from missed deadlines and unclear deliverables. It also makes you look professional. Clients who refuse to sign anything at all are often the same ones who cause problems later.
A simple email agreement can be better than nothing, but a proper signed document is much easier to rely on if something goes wrong.
The clauses every freelance contract needs
1. Parties and date
Name the freelancer and the client, with their business names and addresses where relevant, and the date the agreement starts.
2. Scope of work
Describe exactly what you will deliver: the tasks, the formats, the quantity and the quality standard. Just as important, list what is not included. A sentence like "Hosting, content writing and additional pages are not included" can save you weeks of unpaid work. Attach a separate scope document if the project is large.
3. Fees and payment terms
State the total price or hourly rate. Add the deposit, often 30 to 50 percent before work starts, the invoice schedule and the due date, such as 14 or 30 days. Include the payment methods you accept and the late fee, for example 1.5% per month. Check local limits on late fees, because they vary.
4. Timeline
Give a start date, milestone dates and an end date. Say that deadlines depend on the client supplying feedback and materials on time. Otherwise a slow client can make you late.
5. Revisions
Say how many rounds of changes are included, commonly two. Extra rounds are billed at your hourly rate. This one clause prevents endless revisions.
6. Ownership of the work
Decide when the client gets the rights to the final work. A common approach is that ownership transfers once the invoice is paid in full. You usually keep the right to show the project in your portfolio unless the client asks you not to.
7. Confidentiality
Both sides agree to keep the other's non-public information private and use it only for the project.
8. Independent contractor status
State that you are self-employed, not an employee, and responsible for your own taxes, insurance and tools. Rules about worker classification differ by country, so check what applies to you.
9. Termination
Explain how either party can end the agreement, for example with 14 days of written notice. Say that the client pays for all work completed up to that point, and that the deposit is non-refundable once work has started, if that is your policy.
10. Liability and governing law
Limit your liability to the fees paid under the contract. Name the country or state whose laws apply.
Common mistakes to avoid
Leaving the scope vague, so every request seems "included".
Starting work before the contract is signed and the deposit is paid.
Copying a long contract you do not understand. Every clause should be something you can explain in one sentence.
Forgetting to say who owns the work, and when.
Signing the contract
Most freelancers sign electronically, and many places accept electronic signatures for ordinary service agreements. Keep a copy of the signed file and the date. Rules differ by country, so check what applies to your situation.
When to talk to a lawyer
A template is a good starting point for ordinary projects. For large budgets, long-term deals, regulated industries, or contracts that involve intellectual property you plan to sell, it is worth paying a lawyer to review. Nothing in this guide is legal advice.
